Terms of Use

Please read these Terms of Use ("Terms") carefully before using the Wrkbid platform. By creating an account, registering as a customer or service professional, submitting a registration form, or accessing or using any part of the Wrkbid website or services, you agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and Wrkbid ("Wrkbid," "we," "us," or "our"). Your access to and use of the Platform is conditioned on your acceptance of and compliance with these Terms. By registering for an account, clicking "Create Account," checking the agreement checkbox at registration, or otherwise using the Platform, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are registering on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and the entity.

2. Definitions
  • "Platform" means the Wrkbid website, mobile experience, and all related services.
  • "Customer" means any user who registers to post service requests or projects.
  • "Vendor" / "Service Professional" means any business or individual who registers to receive leads, bids on projects, or creates campaigns on the Platform.
  • "Lead" means the delivery of a Customer's contact information and project details to a Vendor when a Customer selects that Vendor for a project.
  • "Campaign" means the advertising and visibility package created by a Vendor specifying a Bid Amount, service area, and industry.
  • "Bid Amount" means the per-Lead fee a Vendor agrees to pay Wrkbid in exchange for receiving a Lead.
  • "Lead Fee" means the charge owed to Wrkbid equal to the Vendor's Bid Amount at the time a Lead is delivered.
  • "Content" means all text, images, reviews, company information, and other materials submitted to the Platform.
3. Eligibility

You must be at least 18 years old to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement. Vendors must be legally authorized to conduct business in the United States and in the service areas they select. Wrkbid reserves the right to refuse service to any person or entity at any time.

4. Account Registration

To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify Wrkbid immediately of any unauthorized use of your account.

Wrkbid is not liable for any loss or damage arising from your failure to protect your account credentials. You may not create more than one account per individual or business entity without prior written consent from Wrkbid. Wrkbid reserves the right to reclaim or reassign usernames at its sole discretion.

5. Vendor Lead Fees and Charges

By registering as a Vendor or creating a Campaign on the Platform, you acknowledge and expressly agree to the following billing terms. ALL AMOUNTS DESCRIBED BELOW ARE OWED TO WRKBID.

5.1 Lead Fee. Each time a Customer selects you as a Service Professional for a project (a "Lead"), Wrkbid will assess a Lead Fee to your account equal to the Bid Amount set in your active Campaign at the time the Lead is delivered. This charge is incurred automatically and immediately upon Lead delivery.

5.2 Authorized Billing. By creating a Campaign or registering as a Vendor, you expressly authorize Wrkbid to assess Lead Fees to your account as Leads are delivered. You acknowledge that Lead Fees are valid charges for platform services rendered and are a debt owed to Wrkbid.

5.3 Non-Refundable Charges. ALL LEAD FEES ARE NON-REFUNDABLE. Once a Lead is delivered to your account, the corresponding Lead Fee is immediately due and payable to Wrkbid, regardless of whether you (a) contact the Customer, (b) complete the project, (c) receive payment from the Customer, (d) believe the lead to be invalid, or (e) close or pause your Campaign after delivery. Wrkbid does not issue refunds or credits for Lead Fees under any circumstances except at its sole discretion.

5.4 Campaign Spending Limits. You may set a maximum spending limit within your Campaign settings. These limits are approximate. A single Lead charge may exceed your remaining Campaign balance at the time the Lead is delivered, resulting in a negative account balance. You remain responsible for all outstanding Lead Fees regardless of your Campaign's spending limit.

5.5 Placement and Visibility. Your Campaign Bid Amount directly affects your placement in Customer-facing search results. Vendors with higher Bid Amounts will generally appear above Vendors with lower Bid Amounts. Wrkbid makes no guarantee of any specific placement, number of Leads, or volume of business. Wrkbid reserves the right to modify the ranking and matching algorithm at any time without notice.

5.6 Impressions. Wrkbid tracks the number of times your profile is displayed to Customers ("Impressions") for informational and billing purposes. No charge is assessed for Impressions alone; Lead Fees are assessed only when a Customer selects you.

5.7 Unpaid Balances. Any outstanding Lead Fees owed to Wrkbid constitute a debt that survives Campaign pausing, account suspension, or account termination. Wrkbid reserves the right to pursue all available legal remedies to collect unpaid fees, including referral to third-party collection agencies, reporting to credit bureaus, and legal action. You agree to pay all reasonable costs of collection, including attorneys' fees.

5.8 Fee Changes. Wrkbid reserves the right to modify the Lead Fee structure, introduce new fees, or change Bid Amount ranges at any time upon thirty (30) days' written notice via email or platform notification. Your continued use of the Platform after such notice constitutes acceptance of the new fee structure.

5.9 No Guarantee of Leads or Business. Wrkbid does not guarantee any minimum number of Leads, Impressions, or completed projects. Lead delivery depends on Customer activity, geographic match, industry match, and competitive Campaign settings, all of which are subject to change.

6. Campaign Terms

Vendors may create, modify, pause, or deactivate Campaigns at any time, subject to these Terms. A Campaign is active when its status is set to active and no maximum spending limit has been reached. Leads may be delivered to an active Campaign at any time. Pausing or deactivating a Campaign does not cancel or reverse Lead Fees already incurred. Wrkbid reserves the right to deactivate Campaigns that violate these Terms or contain inaccurate information.

7. Customer Accounts

Customers may post project requests at no charge. By posting a project, you agree that the information you provide is accurate and that you are genuinely seeking services. Wrkbid reserves the right to remove or modify project listings that violate these Terms or that appear fraudulent. Customers acknowledge that selecting a Vendor results in that Vendor being charged a Lead Fee by Wrkbid, and agree not to select Vendors with no genuine intent to pursue services.

8. Platform as Marketplace — No Party to Service Contracts

Wrkbid is an online marketplace that connects Customers with independent Service Professionals. Wrkbid is not a party to any agreement, contract, or transaction between Customers and Vendors. Any contract for services is solely between the Customer and the Vendor. All terms of service delivery, pricing, scheduling, and payment are determined exclusively between the Customer and the Vendor.

Vendors are independent contractors, not employees, partners, agents, joint ventures, or franchisees of Wrkbid. Wrkbid does not direct, control, or supervise the services performed by Vendors.

9. No Verification of Service Professionals

WRKBID DOES NOT VERIFY, SCREEN, BACKGROUND CHECK, LICENSE CHECK, INSURANCE CHECK, OR OTHERWISE VET ANY VENDOR OR SERVICE PROFESSIONAL ON THE PLATFORM. Any license numbers, insurance information, certifications, or credentials displayed on a Vendor's profile are self-reported by the Vendor and have not been independently verified by Wrkbid. Customers are solely responsible for independently verifying any Vendor's credentials, licensing, insurance coverage, and fitness for the requested work before entering into any agreement.

Wrkbid expressly disclaims any responsibility for the quality, safety, legality, or fitness of services provided by Vendors. Wrkbid shall not be liable for any personal injury, property damage, financial loss, or other harm resulting from services performed (or not performed) by a Vendor.

10. User Content

You retain ownership of Content you submit to the Platform. By submitting Content, you grant Wrkbid a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your Content in connection with the Platform and Wrkbid's business. This license survives termination of your account.

You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to grant the above license, and that your Content does not infringe, misappropriate, or violate any third-party intellectual property rights, privacy rights, or applicable law. Wrkbid reserves the right to remove, modify, or refuse any Content at its sole discretion without notice.

11. Prohibited Conduct

You agree not to:

  • Post false, misleading, fraudulent, or deceptive Content;
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • Circumvent the Platform by soliciting or accepting service arrangements outside the Platform with Customers you first encountered through the Platform, except as otherwise permitted;
  • Use automated scripts, bots, scrapers, or other means to access or collect data from the Platform;
  • Interfere with or disrupt the integrity or performance of the Platform or its servers;
  • Attempt to gain unauthorized access to any part of the Platform or any account;
  • Post or transmit any material that is defamatory, harassing, threatening, obscene, or otherwise objectionable;
  • Violate any applicable local, state, national, or international law or regulation;
  • Use the Platform for any purpose other than its intended use as a service marketplace;
  • Create fake reviews, manipulate ratings, or otherwise attempt to deceive the Platform's review system;
  • Share your account credentials with third parties or allow others to use your account.
12. Reviews and Ratings

The Platform may allow Customers to leave reviews and ratings for Vendors. Reviews must be honest, firsthand accounts of actual experiences. Wrkbid reserves the right to remove reviews that violate these Terms, appear fraudulent, or are otherwise inappropriate, at its sole discretion. Vendors may not offer incentives of any kind in exchange for positive reviews. Wrkbid is not responsible for the content of reviews posted by users.

13. Intellectual Property

The Platform and all original content, features, and functionality (including but not limited to the Wrkbid name, logo, software, text, and graphics) are and will remain the exclusive property of Wrkbid and its licensors. You may not reproduce, modify, distribute, sell, or create derivative works from any Platform content without Wrkbid's prior written consent. Nothing in these Terms grants you any ownership interest in the Platform or Wrkbid's intellectual property.

14. Privacy

Your use of the Platform is subject to Wrkbid's Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

15. Electronic Communications

By registering for an account, you consent to receive electronic communications from Wrkbid, including transactional emails (receipts, account notices, security alerts), service announcements, and marketing communications. Transactional and service communications are part of the Platform and cannot be opted out of while you maintain an account. You may opt out of marketing communications at any time by following the unsubscribe instructions in those communications.

16. Termination and Suspension

Wrkbid reserves the right, at its sole discretion, to suspend, restrict, or terminate your account or your access to the Platform at any time, with or without notice, for any reason, including but not limited to: violation of these Terms, suspected fraudulent activity, non-payment of Lead Fees, conduct that Wrkbid determines to be harmful to the Platform or its users, or for any other reason Wrkbid deems appropriate.

Upon termination: (a) your right to access and use the Platform immediately ceases; (b) any outstanding Lead Fees and other amounts owed to Wrkbid remain due and payable in full; (c) Wrkbid's license to your Content survives; and (d) any provisions of these Terms that by their nature should survive termination shall survive.

You may terminate your account at any time by contacting Wrkbid. Termination does not relieve you of any obligations or liabilities incurred prior to termination.

17. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT, SERVICES, AND FEATURES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WRKBID DOES NOT WARRANT THAT: (A) THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ANY INFORMATION OR CONTENT ON THE PLATFORM IS ACCURATE, RELIABLE, COMPLETE, OR CURRENT; (C) THE PLATFORM WILL MEET YOUR REQUIREMENTS; (D) ANY DEFECTS WILL BE CORRECTED; OR (E) THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE PLATFORM IS AT YOUR OWN RISK.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WRKBID AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR ANTICIPATED SAVINGS; COST OF SUBSTITUTE SERVICES; OR ANY OTHER COMMERCIAL OR ECONOMIC LOSS ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR USE OF OR INABILITY TO USE THE PLATFORM; (B) ANY SERVICES PROVIDED BY A VENDOR; (C) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (D) ANY STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE PLATFORM; OR (E) ANY OTHER MATTER RELATING TO THE PLATFORM, EVEN IF WRKBID HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL WRKBID'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM EXCEED THE GREATER OF: (A) THE TOTAL LEAD FEES PAID BY YOU TO WRKBID IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00). SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

19. Indemnification

You agree to defend, indemnify, and hold harmless Wrkbid and its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your Content; (c) any services you provide to or receive from another user; (d) your violation of these Terms; (e) your violation of any applicable law or regulation; (f) your violation of any rights of a third party; or (g) any dispute between you and another user of the Platform. Wrkbid reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, at your expense, and you agree to cooperate with such defense.

20. Dispute Resolution and Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

20.1 Informal Resolution. Before initiating any formal dispute proceeding, you agree to contact Wrkbid and attempt to resolve the dispute informally by providing written notice describing the nature of the dispute and the relief sought. Wrkbid will attempt to resolve the dispute within thirty (30) days of receiving your notice.

20.2 Binding Arbitration. If the dispute is not resolved informally within thirty (30) days, you and Wrkbid agree that any and all disputes, claims, or controversies arising out of or relating to these Terms or the Platform shall be resolved exclusively through final and binding arbitration, rather than in court. The arbitration shall be conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") then in effect. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

20.3 Class Action Waiver. YOU AND WRKBID AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

20.4 Exceptions. Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration. Claims for unpaid Lead Fees may be pursued by Wrkbid in any court of competent jurisdiction.

21. Governing Law and Jurisdiction

These Terms and any disputes arising out of or related to them or the Platform shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. To the extent any claim is not subject to arbitration, you consent to the exclusive personal jurisdiction and venue of the state and federal courts located in San Diego County, California.

22. DMCA and Copyright Policy

Wrkbid respects intellectual property rights. If you believe that any Content on the Platform infringes your copyright, please send a written notice to Wrkbid that includes: (a) identification of the copyrighted work claimed to have been infringed; (b) identification of the infringing material and its location on the Platform; (c) your contact information; (d) a statement that you have a good faith belief that use of the material is not authorized by the copyright owner; (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner; and (f) your physical or electronic signature. Send notices to: contact us. Repeat infringers will have their accounts terminated.

23. Third-Party Links and Services

The Platform may contain links to third-party websites or services that are not owned or controlled by Wrkbid. Wrkbid has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Wrkbid shall not be responsible or liable for any damage or loss caused or alleged to be caused by or in connection with your use of any such third-party websites or services.

24. Force Majeure

Wrkbid shall not be liable for any failure or delay in performance under these Terms arising out of causes beyond Wrkbid's reasonable control, including but not limited to acts of God, natural disasters, pandemic, government action, war, terrorism, labor disputes, internet outages, or third-party service failures.

25. Severability and Waiver

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. Wrkbid's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

26. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Wrkbid with respect to the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Platform.

27. Changes to Terms

Wrkbid reserves the right to modify these Terms at any time. For material changes, Wrkbid will provide at least thirty (30) days' notice by email or by posting a notice on the Platform. For non-material changes, Wrkbid may update these Terms without prior notice. The "Last updated" date at the top of this page will reflect the date of the most recent revision. Your continued use of the Platform after any changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform and may close your account.
